1. Acceptance of Terms

By accessing our website, submitting a contact form, messaging us on WhatsApp, requesting a consultation, or accepting a quotation from NESMAT Interior, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy. If you do not agree to these Terms, please do not use our website or services.

2. Our Services — Design, Supply, Deliver

NESMAT Interior operates under Nesmat Interior Consultancy FZE LLC, License No. 2624611834888, Ajman Nuventures Centre Free Zone, United Arab Emirates. Our licensed activities are: interior design consultancy, landscape architecture, wholesale furniture (home and office), general trading (import and export of finishing materials), commercial brokering, marketing management, and events.

Our services are organized into three stages:

1. Design — we prepare design concepts, space plans, drawings, and material specifications for your project.
2. Supply — we supply furniture, tiles, marble, curtains, rugs, and finishing materials directly through our trading division, specified by brand and grade.
3. Deliver — we coordinate approved, independently licensed contracting partners to carry out execution and installation works to our drawings, under our supervision.

References in these Terms to NESMAT “delivering,” “completing,” or “carrying out” a project refer to this coordinated design-supply-delivery model, and do not mean that NESMAT itself performs construction, installation, electrical, plumbing, or other execution works.

3. Quotations & Pricing

• Quotations provided by NESMAT Interior are itemized, specifying materials by brand and grade where applicable.
• Quotations are valid for the period stated on the quotation document, typically 14 to 30 days, after which prices may be subject to revision due to material cost or availability changes.
• Prices are quoted in UAE Dirhams (AED) unless otherwise stated, and are exclusive of UAE VAT unless explicitly stated as inclusive.
• Cost ranges shown on our website (such as on the homepage cost guide) are indicative only and do not constitute a binding quotation. A binding quotation is issued only after a design consultation and site review.

4. Payment Terms

Unless otherwise agreed in writing, NESMAT Interior projects follow a stage-wise payment structure, tied to defined and inspected project milestones (for example: design approval, material procurement, and completion of execution stages). Specific payment milestones, amounts, and schedules will be set out in your project quotation or agreement.

• Payments are due within the timeframe specified on the relevant invoice or milestone request.
• Work on the next project stage may be paused if a due payment for a completed and inspected milestone remains outstanding.
• Accepted payment methods will be confirmed at the time of quotation.

5. Project Timelines

Project timelines provided during consultation or in a quotation are good-faith estimates based on the scope, materials, and information available at the time. Actual timelines may be affected by factors including but not limited to:

• Material lead times and supplier availability
• Authority approvals, permits, and inspections required for the project
• Site conditions discovered after work begins
• Client-requested changes or delayed approvals/decisions
• Force majeure events (as described in Section 14)

NESMAT will communicate material timeline changes to the client as soon as reasonably possible, along with the reason for the change.

6. Client Responsibilities

To allow NESMAT and our execution partners to deliver your project, you agree to:

• Provide accurate information about your property, including access arrangements, building rules, and any existing structural or technical constraints known to you
• Obtain or assist in obtaining any building, landlord, or community approvals required for the project where these fall outside NESMAT’s licensed scope
• Respond to design approvals, material selections, and decision requests within a reasonable timeframe to avoid delays
• Ensure the site is reasonably accessible for site reviews and, where applicable, execution work by our coordinated partners
• Make payments in accordance with the agreed schedule

7. Materials & Furniture Supply

• Materials and furniture supplied by NESMAT are specified in your quotation by brand, model, or grade, and supplied accordingly subject to availability.
• Where a specified item becomes unavailable, NESMAT will propose a comparable alternative for client approval before substitution.
• Minor variations in natural materials (such as marble veining, wood grain, or fabric dye lots) are normal and do not constitute a defect.
• Title to supplied materials and furniture passes to the client upon full payment for the relevant items, in accordance with the agreed payment schedule.

8. Licensed Execution Partners

Where your project requires execution, installation, electrical, plumbing, or other regulated works, these are carried out by approved, independently licensed contracting partners coordinated by NESMAT.

NESMAT selects execution partners based on licensing, prior performance, and suitability for the project scope, and will address performance issues raised by the client with the relevant partner as part of our coordination role.

9. Changes & Variations

Any change to the agreed design, materials, or scope after a quotation has been accepted (“Variation”) may affect price and timeline. NESMAT will provide a revised cost and/or timeline estimate for any requested Variation before proceeding. Work on a Variation will only begin once the client has approved the revised estimate, in writing or via WhatsApp/email confirmation.

10. Cancellations & Refunds

• Either party may discuss cancellation of a project prior to acceptance of a quotation without charge.
• Once a quotation has been accepted and work has commenced (including design work, material procurement, or ordering of specified items), cancellation may result in charges for design work completed, non-cancellable material orders already placed, and any costs reasonably incurred by NESMAT or its execution partners up to the point of cancellation.
• Refunds, where applicable, will be calculated based on payments received less the costs described above, and processed within a reasonable timeframe.
• Custom-manufactured items (such as bespoke joinery, made-to-measure curtains, or custom furniture) are generally non-cancellable once production has begun, as stated in the relevant quotation.

11. Warranties & Liability

Design & supply warranty

NESMAT warrants that design services will be performed with reasonable professional skill and care, and that supplied materials and furniture will conform to the specification approved by the client, subject to the natural variation described in Section 7.

Execution warranty

Workmanship and installation warranties for execution works are provided by the relevant licensed execution partner in accordance with their scope of work and applicable UAE standards. NESMAT will assist in coordinating warranty claims related to execution works with the relevant partner as part of our supervisory role.

Limitation of liability

To the extent permitted by UAE law:

• NESMAT’s liability for any claim arising from our services is limited to the value of the fees paid to NESMAT for the specific service giving rise to the claim.
• NESMAT is not liable for indirect, incidental, or consequential losses, including loss of use, loss of rental income, or loss of profit, arising from a project.
• NESMAT is not liable for delays, defects, or losses arising from the acts, omissions, or licensed scope of work of independently licensed execution partners, except to the extent such losses arise directly from NESMAT’s own design, specification, or supervisory negligence.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable UAE law.

12. Intellectual Property

• Design concepts, drawings, 3D renders, and material specifications prepared by NESMAT remain the intellectual property of NESMAT Interior until full payment for the relevant design services has been received, at which point the client receives a license to use the design for the purpose of the agreed project.
• NESMAT may, with the client’s consent, use anonymized or identifiable project photographs and descriptions for portfolio, marketing, and website purposes.
• All website content, including text, graphics, layouts, and the NESMAT name and logo, is the property of Nesmat Interior Consultancy FZE LLC and may not be reproduced without permission.

13. Website Use

By using nesmatinterior.com, you agree not to:

• Use the website for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the website or its systems
• Copy, scrape, or republish website content without permission
• Use the website’s contact form or WhatsApp channels to send unsolicited commercial messages to NESMAT

Cost ranges, service descriptions, and other content on our website are provided for general informational purposes and are not a substitute for a project-specific consultation and quotation.

14. Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates and, where applicable, the regulations of the Ajman Nuventures Centre Free Zone. Any dispute arising out of or in connection with these Terms or a project shall first be addressed through good-faith discussion between the parties. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

Force majeure: NESMAT is not liable for delays or failure to perform obligations caused by events beyond our reasonable control, including but not limited to natural disasters, extreme weather, government action, regulatory changes, pandemics, or significant disruption to material supply chains. In such cases, affected timelines will be extended by a period reasonably related to the delay caused.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. The “Last updated” date at the top of this page indicates when these Terms were last revised. Updated Terms apply to projects quoted or agreed after the date of the update; projects already governed by a signed quotation or agreement remain subject to the Terms in effect at the time that quotation or agreement was accepted, unless both parties agree otherwise.
